Alvaro Araya I.

Alvaro Araya is an attorney at law with an LLM and a master’s degree in finance. He has a solid formation in corporate, economic, finance, commercial and business matters and wide experience in petroleum, gas and geothermal industries as well as in Project Financing.
He was in-house counsel in Empresa Nacional del Petróleo – ENAP (National Petroleum Company) for 11 years, where he became the General Counsel (Fiscal Corporativo) and developed a varied professional activities, including commercial, general corporate and administrative matters. He also became Secretary of the Board of Directors and Director of various corporations related to ENAP. He was a foreign associate at Chadbourne & Parke LLP, in New York 2006–2007), Of counsel at Morales & Besa (2007–2009) and Partner at Blanche & Molina (2009–2010).

Alvaro Araya has been counselor and negotiator in varied corporate financing matters as well as projects, mergers and acquisitions, international and national debt issuances, contracts and derivatives.
He was professor for the course “Financiamiento de la Empresa” (Company Financing) at the Law Faculty of Universidad Finis Terrae (2004–2005). He is published author of: (i) chapter related to oil regulation in Chile in the Getting the Deal Through – Oil Regulation 2011, 2012 and 2013, (ii) Chapter related to Chile’s energy and natural resources in International Lawyer Year–In–Review (The International Lawyer Summer 2008, Volume 42, Number 2) of the International Law Section of the American Bar Association (ABA)”, (iii) Revista Estudios de Administración, Vol. 9 N° 1, Economy and Management School, Universidad de Chile: “Covenants in Bond Contracting: a Contractual Solution to Agency Problems between Shareholders and Bondholders” Chile and (iv) Revista Laboral Chilena, Vol. 216, Mayo 2013, “Ley 19.628 Sobre Protección de Datos de Carácter Personal y el Contrato de Trabajo: ¿Una Nueva Cláusula Obligatoria”. 
He was panelist in the VII Conference of Mining Law of Universidad de Chile Law School (Santiago, 2005 “Petroleum & Gas Legal Statutes”); in the international conference of the Rocky Mountain Mineral Law Foundation “International Mining and Oil & Gas Law, Development, and Investment” (Buenos Aires, Argentina, 2009), and “I International Alumni Conference, Chadbourne & Parke” (Nueva York, “Lessons Learned from Working in USA”, 2007). 
Member of the Bar Association of Chile, AIPN (Association of International Petroleum Negotiators), and arbitral body member of the National Arbitration Center.

    Matías Novoa A.

    Law and Social Sciences Graduate from Universidad de Chile. Professional title as Attorney at Law (1980). Negotiation and Mediation Degree from Pontificia Universidad Católica de Chile (2005). He has extensive experience in corporate, commercial, real estate, urbanistic, engineering and construction and labor law.
    He was in house lawyer at the Banco Hipotecario de Chile (Mortgage Bank of Chile) and became their lead attorney for the real estate area. Later he also became lead attorney in the liquidation process of the said bank and others. As of 1987, was also in house lawyer at Empresa Nacional del Petróleo (National Petroleum Company), participating in the development of new investment projects such as the Oleoducto Trasandino (Trans-Andean oil pipeline), Gasoducto Transandino (Trans-Andean gas pipeline), etc.

    As of 1995 Mr. Novoa has exclusively focused on exercising his profession freely, as partner at Figueroa y Valenzuela (1997-2000), founding partner of Quinzio & Novoa Abogados Ltda. (2000-2008) and partner at Blanche & Molina (2009-2010). As such, he has participated in various investment projects throughout specific counselling in matters such as real estate, engineering and construction contracts, material and equipment supply, services and funding.
    Mr. Novoa is a member of the Colegio de Abogados de Chile A.G. (Bar Association of Chile) and permanent member of the Comisión de Legislación de la Cámara Chilena de la Construcción (Law Committee of the Chilean Chamber of Construction).

    Matías Novoa M.

    Law and Social Sciences Graduate from Universidad de Diego Portales Law School (2004). Professional title as Attorney at Law (2005). Master’s Degree (L.L.M.), The Sydney University Law School, Australia (2007). Specializes in corporate matters, project structuring and engineering and construction and real estate projects.
    Mr. Novoa has worked as associate at Quinzio & Novoa Abogados Ltda. (2005-2006) and at Blanche, Molina y Cía. (2008 – 2010).

    Andrés Ocare F.

    Andrés Ocare is an attorney at law and Counselor of Novoa & Araya since 2010. He has a wide experience in energy projects, corporate matters and commercial contracts, both in the private and governmental areas, with emphasis in civil law, commercial and administrative matters.
    Mr. Ocare worked for Empresa Nacional del Petróleo (ENAP) between 1996 and 2009 in several oil and gas projects at an upstream and downstream level, participating in multiple negotiations of supply contracts and gas transportation, oil special operating contracts (CEOPS), engineering and construction contracts, shipping contracts, joint ventures, shareholder agreements and corporate financing. He became general Counsel of ENAP between 2006–2009.

    He also worked as a foreign associate at the Cleary, Gottlieb, Steen & Hamilton in New York, during 2003–2004.
    Mr. Ocare is a law graduate from Universidad de Chile. Professional title as Attorney at Law (1993). He later earned a Master of Law (LL.M) from American University Washington College of Law in 2003. He is a member of the Bar Association of Chile and the International Bar Association.

    Daniela Domínguez D.

    Daniela Domínguez is an attorney at law and Of Counsel at Novoa & Araya since 2010 and her practice focuses on litigation matters of process in civil, administrative and labor.
    She is Attorney at Law of the State Defense Council (Consejo de Defensa del Estado) since 1997, where she has extensive experience as a trial lawyer in civil, labor, tax and administrative ordinary courts, as in the special courts of State Procurement and Antitrust.
    Ms. Dominguez studied law at the Universidad Diego Portales. She graduated as a lawyer in 1993. She is a member of the Bar Association of Chile.

    Susana Cortés A.

    Susana Cortés A.

    Susana Cortés is an associate at Novoa & Araya since 2018 and her practice focuses on commercial and corporate matters. She completed her law studies at the Pontificia Universidad Católica de Chile, graduating in 2015 with distinction, and received her professional title of Lawyer in 2017.
    She is currently studying the Tax Planning Diploma at the Faculty of Economics and Business of the Universidad de Chile (2018-2019).
    Previously, she worked as a lawyer in a consultancy firm (2017) and worked as a solicitor in corporate matters in the Fenlabs law firm (2015-2016) and in the area of public and administrative law of the Philippi, Yrarrázaval, Pulido & Brunner law firm (2014-2015).

     

    Carla Domínguez D.

    Carla Domínguez is an associate at Novoa & Araya since March 2012. She has a wide experience in regulatory projects in governmental area, arbitration and other ways of conflicts resolution, with emphasis in civil law, administrative and pension law matters.
    Mrs. Domínguez worked for Superintendencia de Salud between 1997 and 2012 in regulations projects related with Chilean health system, both private and public, participating in the drafting of administrative rules and in several related law projects discussions, and in conflicts resolutions topics, through the design, implementation and control of the arbitration function entrusted by law to the mentioned State organism.

    She was in charge of the Secretaría Ejecutiva unit in 2004 and chief of the Arbitration unit between 2005–2012.
    Mrs. Domínguez is a law graduate from Universidad Diego Portales. Professional title as Attorney at Law (1995). She is a member of the Bar Association of Chile.

    Dafne Kohen F.

    Daphne Kohen is an associate at Novoa & Araya since 2012, and her practice focuses on general corporate matters, and real estate law, contracts, and judiciary, with emphasis on matters of civil and commercial law.
    She wrote her thesis in Constitutional Law, entitled “Religious Freedom and equality before the law in Chile: a critical approach”, published in the Faculty of Law, Diego Portales University (CCO Collection, classification DT2112, 2009).
    She developed her practice on Judicial Assistance Corporation of La Cisterna, common section (period August 2011 – February 2012), obtaining a high rating.
    Kohen Daphne studied law at the Universidad Diego Portales, graduating with distinction in 2011. She received her professional degree of attorney at law in 2012.

     

    Cristián Saez

    Cristián Saez R.

    Law and Social Sciences Graduate from Universidad Diego Portales Law School (2005). He joined as a lawyer in Novoa & Araya in July 2017, working mainly in the areas of civil, commercial, banking, litigation and arbitration law.
    Previously, he worked as an associate attorney at Estudio Puga & Ortiz (2005-2010) and as legal assistant at Banco Ripley and subsidiaries (2010-2017).
    He has a diploma in Modern Civil and Commercial Contracting (Universidad de Chile, 2007); Free Competition (PUC, 2010); and Negotiation (PUC, 2017).

    Benjamín Sepúlveda L.

    Benjamín Sepúlveda L.

    He joined as an associate lawyer in Novoa & Araya in December 2017, working mainly in the areas of civil, commercial, corporate and real estate law.
    He completed his law studies at the Universidad de Los Andes, graduating with distinction in 2012, to finally receive his professional degree of attorney at law in 2014.
    Diploma in Civil Responsibility and Insurance (Universidad de Los Andes, 2013-2014); and candidate for a Master's Degree in Business Law (LL. M) with a specialization in Real Estate Law (Universidad de Los Andes, 2018-2019).

    He previously worked as an associate lawyer in the real estate and corporate area at Walker & Valdivia Abogados (2015-2017), as a lawyer in the mortgage area of Banco Santander and Banco de Chile in Cyber management (2015), and in the real estate area of the Barros & Errazuriz (2014).
    He was also tutor and interrogator for the preparation of law students in their exams of degree, in civil and procedural law (2014-2017), and external lawyer in matters of administrative and municipal law of Feliú y Asociados (2015-2016).
    Mr. Sepúlveda is a member of the Bar Association of Chile A.G.
